FSS Issues Second Correction Request for 'Doosan Bobcat-Doosan Robotics Merger

[Alpha Biz= Reporter Kim Jisun] The Financial Supervisory Service (FSS) has requested Doosan Robotics to correct the securities registration statement related to its merger with Doosan Bobcat, marking the second such request.

Doosan Robotics and Doosan Bobcat face a critical deadline of September 29 to submit the corrected securities registration statement, as the statement must be submitted at least seven trading days before the effective date of October 10. This timeline is essential to meet the requirement of notifying shareholders at least two weeks before the general meeting.

Doosan Group is reportedly considering various scenarios in response to the situation. The group is planning to merge Doosan Bobcat, a construction equipment manufacturer, with Doosan Robotics, aiming to combine Bobcat's growth potential with Robotics' expertise in automation and software technologies.

In response, some in the business community have criticized the FSS, suggesting that the agency is overstepping its role and acting as a de facto regulator of mergers and acquisitions (M&A). Concerns have also been raised about the FSS's approach to determining merger ratios without clear regulatory guidelines.
