[Alpha Biz=(Chicago) Reporter Kim Jisun] Among affiliates of large business groups, as many as 136 companies have served as unregistered executives, not members of the board of directors, the report showed.
The Fair Trade Commission released the '2023 Corporate Governance Analysis' on the 26th.
The survey was conducted on 2,735 affiliates (309 listed companies and 2,426 unlisted companies) belonging to 73 groups, excluding eight newly designated groups out of 82 companies subject to disclosure this year and the National Agricultural Cooperative Federation established under the special law.
The analysis of the status of the total family's participation in management was conducted on 2,602 affiliates belonging to 64 groups with total owners.
Among the companies to be analyzed, 16.6% (433) of the companies were listed as directors.
The ratio of total family-listed companies fell from 21.8 percent in 2018 to 17.8 percent in 2019, 16.4 percent in 2020, 15.2 percent in 2021 and 14.5 percent in 2022, before shifting to an increase in five years.
By group, Celltrion (88.9%) had the highest percentage of companies whose family members were listed as directors among all affiliates. Eight of the nine affiliates have their family members listed as directors.
On the other hand, the five groups, Samchully, E-Land, Mirae Asset, Taekwang, and DL, were not listed as directors.
The total number of directors is 2.8 (2.5 for the total number of 2 and 3 years old) on average. The percentage of employees working as "representative directors or in-house directors" who directly participate in corporate management was very high at 87.4%.
There were 136 companies whose family members were not members of the board of directors but were unregistered executives. By group, Jungheung Construction had the largest number of constructions with 10, followed by Eugene (8), Hite Jinro (7) and DB (5).
Among the positions where the family members are unregistered executives, 57.5% of the companies subject to private profit-taking regulations accounted for more than half.
