SK Nexilis to Absorb SKCFT Holdings in a Merger

[Alpha Biz= Reporter Kim Jisun] On August 13, SKC announced that its copper foil subsidiary, SK Nexilis, will absorb its parent company, SKCFT Holdings, through a reverse merger.


SKC explained that SKCFT Holdings, which currently holds 100% of SK Nexilis’s shares, will be dissolved in this merger. SKCFT Holdings was established specifically to acquire SK Nexilis and is a special purpose company (SPC).

The merger ratio is set at 1:12.7298172. SK Nexilis will acquire 100% of its own shares held by SKCFT Holdings without issuing new shares and will provide these shares to SKCFT Holdings’s shareholders.
